These Terms govern your use of the multi-sector AI assistant SaaS service (the "Service") provided by OzcenkLabs Ltd. ("OzcenkLabs", "we").
1. Service Description
OzcenkLabs provides AI-powered WhatsApp + web chat assistant, appointment / lead management, and admin panel for businesses ("Customers") in healthcare (dental, internal medicine), real estate, retail, beauty, automotive, and other service sectors.
2. Account and Registration
- You must provide accurate, up-to-date information at signup.
- You are responsible for account security.
- Notify us immediately of any unauthorised access.
- Customer admin account holders must be 18 or older.
3. Subscription and Payment
- Trial: 14 days or 500 messages — free.
- Paid plan: Monthly subscription, prices listed on the website.
- Auto-renewal: Renews monthly unless cancelled.
- Cancellation: Anytime via admin panel or arda@ozcenklabs.com.
- Refunds: 14-day money-back guarantee for new Customers.
4. Acceptable Use
You may not use the Service for:
- Illegal, fraudulent, or harmful activities
- Spam or unsolicited bulk messaging
- Content infringing third-party rights
- Misrepresentation or impersonation
- Unauthorised security testing
- Use violating WhatsApp Business Policy or Meta rules
- Processing data of users under 16 without proper consent
- Use violating sector-specific regulations (e.g. confidentiality breach in healthcare)
- Provision of advice that requires a licence (legal, medical, financial) without appropriate involvement of a licensed professional
5. Content and Data
- Data entered by the Customer (leads, appointments, products, listings, etc.) remains owned by the Customer.
- OzcenkLabs uses data only to provide the Service.
- See Privacy Policy and DPA for details.
- Upon cancellation, data is deleted or anonymised within 90 days.
6. AI Output and No Professional Advice
The Service uses generative artificial intelligence (such as OpenAI GPT-4o) to produce automated text responses. AI output is probabilistic and may be inaccurate, incomplete, misleading, or out of context.
- AI output is informational only and is not a substitute for professional advice.
- For medical, legal, financial, or any other regulated advice, review and approval by a licensed professional is required.
- OzcenkLabs does not warrant the accuracy, completeness, currentness, or fitness for any particular purpose of AI output.
- The Customer is responsible for taking reasonable steps to evaluate AI output for fitness for the Customer's use case.
- The Service is not designed for and may not be used in life-critical decisions (emergency medical care, life support, drug dosage, critical financial transactions, etc.).
7. Customer Verification Obligation
The following critical information must be verified by the Customer before being communicated to End Users or acted upon:
- Appointment time, date, location, and fees
- Medical treatment recommendations, drug information, allergy disclosures
- Legal proceedings information
- Product / service prices, stock availability, warranty terms
- Contract terms, payment information
Damages arising from the Customer's failure to verify, or insufficient verification, are the Customer's responsibility. OzcenkLabs is not liable for direct or indirect damages arising from unverified AI output.
8. Service Level (SLA)
- 99% uptime target (excluding planned maintenance).
- Planned maintenance announced via email at least 24 hours in advance.
- Where the SLA target is not met, the Customer's sole remedy is a pro-rated subscription credit for the affected month; no other compensation is paid.
- SLA credits with stronger guarantees are available on enterprise plans.
9. Third-Party Services
The Service relies on third parties such as OpenAI, Meta WhatsApp Cloud API, Twilio, Vercel, Supabase, and Cloudflare. Outages, policy changes, or terminations of these services may affect the Service; OzcenkLabs is not liable for such disruptions or any damages arising from them.
10. Force Majeure
OzcenkLabs is not liable for delays or failures in performance arising from events beyond our reasonable control, including but not limited to:
- Natural disasters (earthquakes, floods, fires, storms)
- Epidemics, pandemics
- War, terrorism, civil unrest, riots
- Strikes, lockouts, labour disputes
- Power failures, internet infrastructure failures, telecommunications outages
- Malicious cyberattacks (DDoS, ransomware, hacking)
- Government action, regulatory change, prohibitive regulation
- Third-party service disruptions (OpenAI, Meta, Twilio, Vercel, Supabase, Cloudflare, etc.)
- Cloud infrastructure or CDN outages
Where a force majeure event occurs, OzcenkLabs will inform the Customer within a reasonable time and use reasonable efforts to remedy the situation. If the disruption exceeds 30 days, either party may terminate the agreement.
11. Customer Data Backup Responsibility
OzcenkLabs implements reasonable security and backup measures (TLS, encrypted backups, RLS, etc.). Notwithstanding:
- The Customer is responsible for periodically backing up its own data (leads, appointments, listings, products, conversation logs, etc.).
- CSV export, lead list download, and similar features are provided in the admin panel for this purpose.
- OzcenkLabs accepts no responsibility for loss, alteration, or interception of data during transmission across networks we do not own or operate.
- No 100% data-loss-prevention guarantee is provided; in the event of data loss, maximum liability is limited to the SLA service credit.
- Before requesting account termination, the Customer is responsible for exporting its own data.
12. Intellectual Property
Service software, design, brand, and logos are owned by OzcenkLabs Ltd. The Customer retains ownership of its own content and grants OzcenkLabs a limited, revocable licence to operate the Service.
13. Disclaimer of Warranties and Limitation of Liability
The Service is provided "AS IS" and "AS AVAILABLE". To the maximum extent permitted by law, OzcenkLabs disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, uninterrupted operation, error-free operation, and non-infringement of third-party rights.
- OzcenkLabs's total aggregate liability shall not exceed the subscription fees paid by the Customer in the 12 months preceding the event giving rise to the claim.
- Indirect, consequential, special, punitive, or exemplary damages (including loss of profits, revenue, goodwill, data, or business interruption) are excluded.
- These limitations do not apply to liabilities that cannot be limited by law (personal injury, death, gross negligence, fraud, intentional misconduct).
- The UK Consumer Rights Act 2015 and other mandatory local consumer rights are preserved.
14. Indemnification
The Customer agrees to indemnify OzcenkLabs against third-party claims, costs, and reasonable attorneys' fees arising from violations of acceptable use or these Terms.
15. Termination
- The Customer may close its account at any time.
- OzcenkLabs may terminate with 14 days' notice (immediately for serious violations).
- Following termination, data is deleted or anonymised within 90 days.
16. Changes
Material changes are announced at least 30 days in advance. Continued use after notice constitutes acceptance.
17. Governing Law
Governed by the laws of England and Wales. Disputes subject to exclusive jurisdiction of English courts. Mandatory local consumer rights are preserved.
